Call to Order, Verification of Quorum

President Susan Hamman called the meeting to order at 2:30 p.m.

Approval of Agenda

Vice President Mark Anderson moved to approve the agenda, seconded by Betty Gwaltney, and the motion was approved.

Review and Approval of December Meeting Minutes

Treasurer Betty Gwaltney moved to approve the minutes, seconded by Member-at-Large Beverly Stern, and the motion was approved.

Old Business

Replacement Exterior Maintenance Chair(s) – Mark Anderson

Mike Johnson reported that he and Mark Anderson are working on job descriptions and gathering a group of volunteers to handle exterior maintenance inspections and oversee maintenance.

Bylaws revisions – Status – Lawrence Charters

Secretary Lawrence Charters stated he is working to bring the Bylaws into compliance with the relevant Washington State laws, as well as improve the organization and make it more concise. He is aiming to have a draft ready for review and proofreading in April. Once the draft is reviewed, it will be presented to the Board and membership for discussion.

New Business

Records Retention Schedule, draft revision 2 – in accordance with RCW 64.90.495

Susan, in her role as association archivist, proposed several changes to bring the Records Retention Schedule into compliance with revisions to Washington State law. There are minor changes to retention periods, financial audit records instead of financial review records, the addition of unit resale certificates, changes to retention of IRS exemption records, tax filing records, and types of communications to be retained. Lawrence moved to accept the revisions, Mark seconded, and the motion was approved.

Betty will be hosting a Zoom meeting to go over the electronic records and discuss which records need to be retained.

Secretary Update – Lawrence Charters

Lawrence mentioned the website has continued to come under attack and answered questions from the membership about why the website is targeted.

Mark added that the website was updated to include a direct link to a reference guide on owner and association maintenance responsibilities.

Treasurer Update – Betty Gwaltney

Recommendations:

    • Renew CDs at Kitsap Bank CDs 18-month at 1.64% ($31,399) and 1.73% (53,350). Lawrence moved to accept Betty’s recommendation, Mark seconded, and the motion was approved.
    • Renew CD at Kitsap CU – 24-month at 2.75% or 10-month at 4.0%. Lawrence moved to accept Betty’s recommendation, Mark seconded, and the motion was approved.
    • Purchase new CD at First Fed with OPERATIONAL Funds $100,000 – 7 month 3.60%.

Lawrence moved to accept Betty’s recommendation, Beverly seconded, and the motion was approved.

Financial Audit for FY2025

See proposal from Newman HOA CPA – Audit Fee $2,700. Lawrence moved to accept Betty’s recommendation of a firm to do the audit, Beverly seconded, and the motion was approved.

Committee Reports

Architectural Control – Rob Crombie

Six buildings are to be painted in 2026; only one building hasn’t specified painting colors.

Insurance – Susan Hamman

Water damage issue to a unit on Blakely. An under-cabinet leak ran for possibly two days before detection. Damages will exceed the $10,000 deductible. Waiting for more information from contractors, trustee for the owner, owner’s insurance company. Members asked about why this was an association issue and what efforts could be made by the association to reduce such claims. The board will continue to collect more information on the incident.

Developed Landscape – Tom Steffen

Nothing to add.

Exterior Maintenance – Mark Anderson (acting)

Mike gently reminded everyone that he is the former chair. Waiting on bids for painting.

Natural Habitat – Sarah Miller

No report. Received a query about putting in a bench at the bottom of the hill on Blakely. The feasibility will be investigated.

Welcome Committee – Sandy Reed

The treasurer met with the Welcome Committee and talked about the needs and how to meet them.

Communications and Outreach – Kathy Gross

The January 2026 newsletter was published, and owner directories were distributed.

Owner Comment Period

The landscaping crew was overwhelmed with gratitude that Sunland North gave them an end-of-year bonus.

Discussion of mulch for 2027 and alternatives to what we’ve done in the past. Landscaping volunteers will look at the issue.

Discussion about some privacy fences in need of repair.
