Board Meeting Minutes

2:30 p.m. Call to Order and Verification of Quorum -confirmed

Old Business

Backflow Valve Inspection/Testing Update

Warren has learned the HOA is not in compliance and action needs to take place to correct this.  However, there is no apparent due date for doing so.  Who is to pay the fee for the inspections?  Warren will reach out to Brian Scott for clarification on what the expectations are of Division 17 to come into compliance.  Don Lichten is the only certified inspector that has been contacted.  All valves are mapped except for Mt. Baker.  Tom Steffen commented that this task will take about two hours to complete.  Warren will report back to the board with an update at the February Board meeting.

HOA Legal Counsel

Gerry Hatler raised the need for legal counsel and the search for a law firm whose practice areas are compatible with our needs.  Two firms have been referred as possible candidates.  Shirley Legg was asked to contact each of these firms to ascertain if they would be interested in a Zoom meeting with the Board as way of introducing the firm and briefly outlining HOA needs.  The HOA needs are two prong.   The day-to-day administrative needs of enforcing CC&Rs, etc. and the need for assistance in making sure the HOA governing documents are complying and up to date.  The attorney who represented the HOA in the litigation regarding the Cascadia Loop fire was also put forth as a possibility.

New Business

Board Guidance re: NSF Checks – The HOA is charged a bank fee of $25 non returned non-sufficient checks.   Treasurer Betty Gwaltney raised the question should the non-sufficient funds owner be charged the $25 to reimburse the HOA for the cost.  Is this something that should be added to the Rules and Regulations or otherwise inform the owners.  Lawrence Charters recommended putting this on hold for further discussion and drafting of wording.  Further discussion will be on next month’s agenda.

Updating Welcome Packet documents – The welcome packets need to be up-dated.  Board Lawrence asked that each board and committee chair review the portion of the packet that refers to their position to and suggest edits and updates so that the website can be updated with accurate information.  It is the secretary’s responsibility to follow with drafts from the appropriate positions and as for any revisions by February 1.   

Opening a New CD Account – At the recommendation of the Treasurer the suggestion of opening an account at Washington Federal and moving $75,000 from the First Federal Spruce money market account to a 13month CD at 3.92% and, if required, depositing $1000 into a checking account.  Lawrence Charters made a motion to do so, seconded by Warren Husman and approved by the Board.

Treasurer Update Betty Gwaltney –

The FINAL Dec total year to date operating expenses to $356,731. This is $30,640 OVER budget year to date for Operational expenses.

1. Total Funds on hand:

Operating Accounts $ 24,480
Reserve Accounts $ 694,429
TOTAL $ 718,910

2. Reserve contribution for 2022: Transferred $115,000 from Operational accounts to Reserve accounts Dec 28th. This includes $11,000 for future Mulch expense, $8374 for future Painting expense.

3. Balance sheet and Profit and Loss reports from Accountant – see attached.
4. New Owner letter – 1 sent in December.

Vice President Lawrence Charters – Kathy Gross and Lawrence still working on website cleanup and organization. Will result in less space usage. Move to new platform. Thanks to Kathy for her assistance.

Committee Reports

Architectural Control – Eric Mahnerd and Mark Anderson – None

Insurance – Susan Hamman – Insurance None – Continued record managements and destruction. If any board members or committee chairs have documents in their possession that should be archived or destroyed, please give them to Susan.

Developed Landscape-Tom Steffen – None other than landscaping terminology probably needs clarification.

Exterior Maintenance – Mike Johnson – Contracted exterior painting still to be completed. Final payment will be made once completed. Four roofs repaired last year.
Basecamp -21 items left to do. Three fence repair items. Concrete repairs -dozens. Moss and gutter cleaning – Northwest Gutter will follow-up. Sidewalks parallel to the road need to be power washed. Gerry Hatler asked that the painting schedule be evened out showing paintings per calendar year.

Natural Habitat – Susan Miller -County trees are planted but now need protective wire installed around them.

Communications and Outreach – None

Owner Comments

Voiced concern over the 90-degree intersection at Blakely corner. How to mitigate risk is a continuing challenge with no immediate solutions.
