Board of Director’s Code of Ethics

Sunland Division 17

As a member of this Board, I will:

1. Fulfill my fiduciary duty to homeowners to manage and operate the association using care that an ordinarily prudent person would use under similar circumstances.

2. Exercise the Business Judgement Rule in making decisions in good faith.

3. Govern and manage the community in accordance with applicable laws and regulations.

4. Enforce all rules, including architectural guidelines, in a fair and uniform manner.

5. Demonstrate respect and courtesy for everyone.

6. Be committed to fulfilling the mission and vision of the community.

7. Keep all board information confidential.

8. Strive for openness and transparency in all areas of communication with owners.

9. Serve on a committee and/or task force in a leadership capacity.

10. Refrain from using my service on this board for my own personal advantage or for the advantage of my friends or associates.

11. Respect and support the majority decisions of the board.

12. Immediately disclose to the board any perceived or real conflict of interest as soon as I have knowledge of the potential conflict.

13. Approach all board issues with an open mind, understand alternative perspectives, and be prepared to make the best decisions for everyone involved.

14. Do nothing to violate the trust of those who elected or appointed me to the board or of those we serve.

15. Never exercise authority as a board member except when acting in a board meeting or as I am delegated by the board or its President.

16. Consider myself a Trustee of this organization and do my best to ensure that it is well maintained, financially secure, growing, and always operating within the best interests of those we serve, the owners.
